Agreement to Terms

Welcome to AlgoChef. These Terms of Service ("Terms") govern your access to and use of the AlgoChef website (algochef.app) and services ("Service").

By accessing or using AlgoChef, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Description of Service

AlgoChef is a web-based platform that provides:

  • Strategy performance analysis and metrics
  • Monte Carlo simulations and risk analysis
  • Portfolio construction and optimization tools
  • Related analytical tools for systematic traders

The Service is designed to help traders analyze and validate their trading strategies. AlgoChef does not execute trades, provide investment advice, or manage money.

Eligibility

To use AlgoChef, you must:

  • Be at least 18 years old
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws

By using the Service, you represent and warrant that you meet these requirements.

Account Registration

Account Creation To access certain features, you must create an account by providing accurate and complete information. You are responsible for maintaining the accuracy of your account information.

Account Security You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

We are not liable for any loss or damage arising from your failure to protect your account credentials.

Acceptable Use

You agree to use AlgoChef only for lawful purposes and in accordance with these Terms.

You may:

  • Upload your own trading strategy data for analysis
  • Use the analytical tools for personal or professional trading decisions
  • Export reports and data for your own use
  • Share your own reports with others at your discretion

You may not:

  • Use the Service for any illegal purpose
  • Upload data you do not have the right to use
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated scripts to access the Service without permission
  • Resell, redistribute, or sublicense access to the Service
  • Use the Service to develop a competing product
  • Upload malicious code, viruses, or harmful data
  • Misrepresent your identity or affiliation
  • Violate any applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these Terms.

Your Data

Ownership You retain all ownership rights to the data you upload to AlgoChef, including your strategy trade data, configurations, and settings.

License to Us By uploading data, you grant us a limited, non-exclusive license to:

  • Store and process your data to provide the Service
  • Generate analytics and reports based on your data
  • Create anonymized, aggregate statistics (that cannot identify you or your strategies)

This license terminates when you delete your data or close your account.

Data Accuracy You are responsible for the accuracy of data you upload. We process data as provided and are not responsible for errors in your source data.

Backups While we maintain backups, you are responsible for maintaining your own copies of important data. We are not liable for data loss.

Intellectual Property

Our Property AlgoChef and its original content, features, and functionality are owned by AlgoChef and are protected by copyright, trademark, and other intellectual property laws.

This includes:

  • The AlgoChef name, logo, and branding
  • Website design and user interface
  • Proprietary metrics and scoring systems (including Health Score, Confidence Score, etc.)
  • Software code and algorithms
  • Documentation and educational content

Limited License We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

Feedback If you provide feedback or suggestions about the Service, we may use them without any obligation to you.

Fees and Payment

Current Status: Beta / Waitlist During the beta period, access to AlgoChef is free for approved users.

Future Pricing When we launch paid plans:

  • Pricing will be displayed on our website
  • You will be notified before any charges apply
  • Subscriptions will renew automatically unless cancelled
  • Refunds will be handled according to our refund policy (to be published)

Changes to Pricing We may change our pricing at any time. Existing subscribers will be notified at least 30 days before any price increase takes effect.

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY AND AFFECTS YOUR LEGAL RIGHTS.

Not Financial Advice

AlgoChef is an analytical tool, not a financial advisor.

  • The Service provides data analysis and statistical calculations only
  • Nothing in the Service constitutes investment advice, trading advice, or recommendations
  • We do not recommend any specific trades, strategies, or investments
  • Past performance shown in analysis does not guarantee future results
  • All trading and investment decisions are solely your responsibility

You should consult a qualified financial advisor before making investment decisions.

No Guarantees of Trading Results

  • We make no guarantees about the profitability of any strategy
  • Monte Carlo simulations show possible outcomes, not predictions
  • Statistical analysis has inherent limitations and assumptions
  • Market conditions can change in ways that models cannot predict
  • Strategies that performed well historically may fail in the future

Trading involves substantial risk of loss. You may lose some or all of your invested capital.

Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF RESULTS
  • UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any errors in the Service will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL ALGOCHEF, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any trading losses or investment losses
  • Any damages arising from your use of or inability to use the Service
  • Any damages arising from unauthorized access to your data
  • Any damages exceeding the amount you paid us in the 12 months preceding the claim

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless AlgoChef and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your trading or investment decisions
  • Any data you upload to the Service

Termination

By You You may stop using the Service at any time. To close your account, contact us at support@algochef.app.

By Us We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if we believe you have violated these Terms.

Effect of Termination Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account and data (after a reasonable retention period)
  • Provisions that by their nature should survive will survive (including disclaimers, limitations of liability, and indemnification)

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending you an email (for significant changes)

Your continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the changes, stop using the Service.

Dispute Resolution

Governing Law These Terms are governed by the laws of TBD, without regard to conflict of law principles.

Informal Resolution Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@algochef.app. We will attempt to resolve the dispute within 30 days.

Arbitration If informal resolution fails, any dispute shall be resolved by binding arbitration administered by TBD in accordance with its rules. The arbitration will be conducted in TBD.

Class Action Waiver You agree to resolve disputes with us on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

General Provisions

Entire Agreement These Terms, together with our Privacy Policy, constitute the entire agreement between you and AlgoChef regarding the Service.

Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

Waiver Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

No Third-Party Beneficiaries These Terms do not create any third-party beneficiary rights.

BY USING ALGOCHEF, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.

YOU FURTHER ACKNOWLEDGE THAT:

  • AlgoChef is an analytical tool, not a financial advisor
  • Trading involves substantial risk of loss
  • Past performance does not guarantee future results
  • You are solely responsible for your trading decisions
